Our services may involve third-party platforms, including social media networks, advertising platforms, content distribution services, and independent influencers or creators.
These third parties operate independently of Samra Media and may have their own terms, policies, algorithms, commercial practices, and operational requirements.

Accordingly:

Platforms may change their algorithms, advertising policies, features, or access requirements.

Content may be removed, restricted, delayed, or rejected by a platform.
-
Accounts may be suspended, restricted, or terminated by a platform.

Nothing in these Terms limits liability that cannot legally be excluded.
7. Fees and Payment
Unless otherwise specified in a separate written agreement, the fees, payment schedule, payment currency, and applicable taxes for our services will be set out in the relevant proposal, quotation, invoice, or contract.

Nothing in this section creates a right to retain a payment or impose a charge where doing so would violate applicable law.
8. Cancellations and Changes to Services
If you wish to cancel, postpone, or materially change a marketing campaign, please notify us in writing.
The consequences of a cancellation or change, including any applicable fees, refunds, committed third-party costs, or revised delivery schedules, will be determined by the relevant service agreement.
If no separate agreement addresses a particular issue, the parties should agree in writing on a reasonable resolution, taking into account work already completed, expenses reasonably incurred, and applicable legal requirements.
We reserve the right to suspend or terminate Website access where reasonably necessary for security, legal compliance, or prevention of misuse.
Termination of Website access does not automatically terminate an existing service agreement, which remains subject to its own terms.
9. Intellectual Property
9.1 Website Content
Unless otherwise indicated, the Website and its content, including text, graphics, branding, logos, design elements, and other materials, are owned by or licensed to Samra Media.
These materials are protected by applicable intellectual property laws.
You may view and use Website content for personal or internal business informational purposes. You may not reproduce, distribute, modify, publish, or commercially exploit Website content without our prior written permission, except where permitted by law.
9.2 Client Materials
You retain ownership of materials you provide to us, subject to any rights held by third parties.
You grant Samra Media a limited, non-exclusive right to use, reproduce, and process those materials to the extent reasonably necessary to perform the agreed services.
You represent that you have the rights and permissions necessary to provide these materials and authorize their intended use.
9.3 Campaign Deliverables
Ownership of campaign deliverables, including creative assets, videos, photographs, advertising materials, reports, and other work products, will be governed by the applicable service agreement.
The parties should expressly address any applicable usage rights, intellectual property transfers, licenses, exclusivity, and permitted channels of publication in that agreement.
Unless otherwise agreed in writing, no transfer of ownership in campaign deliverables should be assumed merely because a client has paid for services.
9.4 Third-Party Content
Influencer content, music, photographs, trademarks, platform materials, and other third-party assets may be subject to separate rights and licensing restrictions.
Any permitted use of such materials is subject to the applicable licenses, creator agreements, platform policies, and law.
10. Confidentiality
In the course of a business relationship, either party may receive confidential information belonging to the other party.
Where a separate confidentiality agreement or service agreement applies, its confidentiality provisions will govern.
Otherwise, each party should take reasonable steps to protect confidential business information received from the other party and use it only for the purpose for which it was disclosed, subject to applicable law.
Confidentiality obligations do not ordinarily apply to information that is publicly available through no breach, was lawfully known beforehand, is independently developed, or is lawfully obtained from another source without a duty of confidentiality.
Disclosure required by law may be made to the extent legally required.
11. Privacy and Data Protection
Our collection and use of personal information through the Website are described in our Privacy Policy.
Please review our Privacy Policy for information about how we handle personal information.
Where our services involve processing personal information on behalf of a client, the parties may need a separate data processing agreement or other contractual arrangements to address their respective obligations under applicable data protection laws.
Each party is responsible for complying with the privacy and data protection obligations applicable to its own activities.
12. Disclaimers
The Website and its general content are provided on an "as is" and "as available" basis, to the extent permitted by law.
We make reasonable efforts to maintain accurate and useful Website content, but we do not warrant that all information will always be complete, current, uninterrupted, or error-free.

This limitation does not apply to losses that cannot legally be excluded or restricted.
For services provided under a separate written agreement, any applicable liability caps, exclusions, and remedies will be governed by that agreement, subject to applicable law.
Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or any other liability that cannot legally be excluded or limited.
14. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, and reasonable expenses arising from your unlawful use of the Website or your infringement of third-party rights.
Any indemnification obligations relating to marketing campaigns, advertising content, products, creator materials, or client instructions should be specified in the applicable service agreement.
Nothing in this section requires you to indemnify us for losses caused by our own conduct where such an obligation would be prohibited by law.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of [Insert Applicable Jurisdiction], without regard to its conflict-of-law principles, except where mandatory laws require otherwise.
Any dispute arising from or relating to these Terms will be resolved through [Insert Agreed Dispute Resolution Process and Competent Courts or Tribunal], subject to applicable law.
If you engage Samra Media under a separate written service agreement, the governing law and dispute resolution provisions in that agreement will apply to the extent they govern the relevant dispute.
Important: The governing law and dispute resolution provisions must be completed before publication. They should reflect the actual operating entity, its contractual arrangements, and the markets in which it operates.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Website, services, business practices, or legal requirements.
When changes are made, we will update the "Last Updated" date at the top of this page.
Where required by law, we will provide additional notice or obtain any necessary consent.
Your continued use of the Website after updated Terms become effective constitutes acceptance of the revised Terms only to the extent permitted by applicable law.
17. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permissible.
18. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.
Any waiver must be made in a manner permitted by applicable law.
19. Entire Agreement
These Terms govern your general use of the Website.
They do not replace any separate written agreement governing the provision of marketing services.
